THE FOLLOWING RULES APPLY TO THE WESCO EES INDUSTRIAL MARKETS SURVEY PROMOTION (THE “PROMOTION”) (THE “PROMOTION”). PLEASE DO NOT ENTER THIS PROMOTION IF YOU DO NOT MEET THE ELIGIBILITY REQUIREMENTS IN THESE RULES, AND IF YOU ARE NOT LOCATED IN, AND A LEGAL RESIDENT OF THE CONTINENTAL UNITED STATES OR THE DISTRICT OF COLUMBIA. ENTRIES ORIGINATING FROM ANY OTHER JURISDICTION ARE NOT ELIGIBLE FOR ENTRY. YOU ARE NOT AUTHORIZED TO PARTICIPATE IN THE PROMOTION IF YOU ARE NOT LOCATED WITHIN THE CONTINENTAL UNITED STATES OR THE DISTRICT OF COLUMBIA. ENTRY IN THIS PROMOTION CONSTITUTES YOUR EXPLICIT ACCEPTANCE OF THE RULES. VOID WHERE PROHIBITED BY LAW.

1. NO PURCHASE NECESSARY. The Promotion is open only to legal residents of the continental United States of America and the District of Columbia, who are 18 years of age or older at the time of entry and who are the direct and intended recipient of the Promotion administered on April 15, 2025, (each a “Participant”). Residents of Guam, Puerto Rico, and all other U.S. territories and possessions are not eligible to enter this Promotion. Employees of Wesco Distribution Inc., and its related companies, affiliates and subsidiaries, advertising and promotion agencies of Wesco, officers, directors, agents, and sales representatives, and their immediate family members (e.g., spouse, mother, father, sister, brother, uncle, aunt, nephew, niece, grandparent, in-law, daughter or son, regardless of where they live) and/or those living in the same household (whether or not legally related) are not eligible to enter. Wesco reserves the right not to declare any official winners if Wesco determines, in its sole discretion, that the Participant did not meet the eligibility criteria. By entering the Promotion, Participants fully and unconditionally agree to be bound by the Rules and the decisions of Wesco, which will be final and binding in all matters relating to the Promotion. All applicable federal, state, and local laws and regulations apply.
2. PROMOTION PERIOD. The Promotion begins on April 15, 2025, and ends on April 29, 2025 (“Promotion Period”). The odds of any Participant winning the Prize shall be based on qualifying Submissions received during the Promotion Period. Promotion registrations may not be transferred or combined with any other Promotion or assigned or transferred to other Participants.
3. HOW TO ENTER. Participants who submit a completed survey response during the Promotion Period can enter by providing their email address as instructed in the survey form. Participants may also enter their Submission by printing their full name, complete mailing address, phone number, and email address on a 3″ x 5″ card and mailing it to: Wesco Distribution, Inc., Attn: Marketing Department, 225 West Station Square Drive, Suite 700, Pittsburgh, PA 15219. Mail-in entries must be received by the end of the Promotion Period. Limit one (1) Submission entry per person, regardless of entry method.
4. Each Submission made by a Participant during the applicable Promotion Period will constitute an entry.  One (1) winner will receive a $500 electronic gift card of their choice from a list of available branded gift cards (the “Prize“). Certain restrictions may apply. The Prize is non-transferable, and no cash or other substitutions are allowed except at Wesco’s discretion. Prize must be accepted as awarded and may not, except in Wesco’s sole and absolute discretion, be substituted or transferred and cannot be redeemed for cash. No prize will be replaced if lost or stolen once received. If the Prize (or any part) is not claimed, it will be forfeited, and an alternate winner may be selected. If an element of any Prize is unavailable for any reason, the remaining elements of the Prize shall constitute full satisfaction of Wesco’s Prize obligation to the Winner; and no further compensation will be awarded. All taxes and unspecified expenses related to the Prize are the sole responsibility of the winner. U.S. winners may be required to provide tax documentation.
5. SELECTION. ODDS. NOTIFICATION. A potential winner for each Prize will be selected in a random drawing by Wesco or its representative on April 30, 2025. Odds of winning depend on the number of Entries received. All potential winners are subject to verification by Wesco. The potential winner will be notified by email or any other method in Wesco’s sole discretion on or about April 30, 2025, and may be required to sign and return, where legal, a Declaration or Affidavit of Eligibility and Liability/Publicity Release (“Declaration/Release”) within five (5) calendar days of notification.

In the event (i) Wesco is unable to contact a potential winner within five (5) calendar days of first notification attempt, (ii) any Prize or Prize notification is returned as undeliverable, (iii) any potential winner or their Representative rejects the Prize or refuses to sign the Declaration/Release, or (iv) a potential winner is otherwise noncompliant with these Promotion Rules and requirements; then such potential winner will be disqualified and the Prize will be forfeited, and an alternate potential winner will be selected from all remaining eligible Participants. If, after three alternate selections, no potential winner has met the criteria in these Rules to claim the Prize, then the Prize will remain unawarded. Upon confirming a final Winner (the “Winner”), each Prize will be distributed as soon as reasonably possible and without undue delay.

To the extent permitted by law, Wesco disclaims any liability from, and Participants, whether or not the Winner or potential winner(s), agree to waive, any claims against Wesco relating to the Promotion, the Survey and/or the awarding process. By accepting a prize, the winner of that prize agrees for the winner and the winner’s heirs, executors, administrators, assignees and any other applicable third-party to release and hold harmless Wesco and Giveaway Entities (collectively, the “Released Parties”) from any and all liability, loss, penalty or damage arising from or in connection with the awarding, receipt, and/or use or misuse of any prize, or participation in the Giveaway or any prize-related activities, to the fullest extent permitted by applicable law.

6. DISQUALIFICATION AND GENERAL CONDITIONS. False or misleading submissions and/or acts will render any Participant ineligible. Wesco, in its sole discretion, reserves the right to disqualify any Participant, if it commits or has committed any act, or has been involved or becomes involved in any situation or occurrence, which Wesco deems likely to subject Wesco or any Participant to scandal, ridicule, or contempt, or which reflects unfavorably upon Wesco in any way. Such behavior may include, but is not limited to, (a) abusing, annoying, cyber-bullying, threatening, harassing or undermining, any other Participant, users, or Wesco’s representatives; (b) deception, cheating, or any other unfair playing practices; (c) attempting to tamper or tampering with the operation of the Promotion; or (d) violating the Rules, conditions of use, terms of service, and/or general rules or guidelines of Wesco. If any Participant committed an act warranting disqualification, as determined by Wesco in its sole discretion, and after the applicable Participant has received notice of the Prize but before the Prize is awarded, Wesco may withdraw the Prize in its entirety. Wesco’s failure to enforce any term of these Rules shall not constitute a waiver of that provision. Wesco is not responsible for lost, late, illegible, mutilated, misdirected, incomplete, or submissions not received for any reason.

CAUTION: ANY ATTEMPT BY AN INDIVIDUAL OR ANY OTHER PERSON TO DAMAGE OR UNDERMINE THE OPERATION OF THIS PROMOTION IS A VIOLATION OF THE LAW. SHOULD SUCH AN ATTEMPT BE MADE, WESCO RESERVES THE RIGHT TO SEEK PROSECUTION AND/OR DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Wesco reserves the right to cancel, suspend, or modify the Promotion if fraud or technical failures compromise the integrity of the Promotion as determined by Wesco in its sole discretion, or for any other reason in Wesco’s sole discretion. Wesco reserves the right, in its sole discretion, to modify, suspend, or cancel the Promotion and/or the Rules at any time and without prior notice or fault of any kind.

7. PERSONAL INFORMATION. Participant hereby acknowledges and agrees that Wesco and its authorized agents may collect, use, or disclose personal information from each Participant when they participate in and enter the Promotion for the purposes of administering the Promotion and Prize Fulfillment. By participating in this Promotion, Participants hereby consent to the collection, use, or disclosure of their personal information as set out in Wesco’s Privacy Policy. 8. LIMITATION OF LIABILITY AND RELEASES. BY PARTICIPATING IN THIS PROMOTION, PARTICIPANTS AGREE THAT THE WESCO AND ANY AFFILIATES HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY PARTICIPANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) TO PERSONS OR PROPERTY RESULTING FROM THE PROMOTION, INCLUDING THE ACCEPTANCE, POSSESSION, MISUSE OR USE OF THE PRIZE. WITHOUT LIMITING THE FOREGOING, THIS PROMOTION AND THE PRIZE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. FURTHER, BY PARTICIPATING IN THIS PROMOTION, PARTICIPANTS AGREE THAT WESCO AND ANY AFFILIATES HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY PARTICIPANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) TO PERSONS OR PROPERTY RESULTING FROM: A) ENTRY OR PARTICIPATION IN THIS PROMOTION, INCLUDING ACCESS TO AND USE OF WEBSITES (AS APPLICABLE), OR B) ANY CLAIMS BASED ON PERSONALITY OR PRIVACY RIGHTS, DEFAMATION OR MERCHANDISE DELIVERY.

Without limiting the foregoing, Wesco and any Affiliates, shall not be responsible for: (a) any incomplete or inaccurate information that is caused by related promotional materials, or by any of the equipment or programming associated with or utilized in the Promotion, or by any technical or human error which may occur in the processing of submissions in the Promotion; (b) lost, interrupted, or unavailable network, server, service provider, on-line systems, telephone networks or telephone lines, or any other connections; (c) the theft, destruction, loss or unauthorized access to, or alteration of, entries; (d) any problems with, or malfunctions or failures of, telephone networks or lines, computers or computer on-line systems, servers or providers, computer equipment, software, viruses or bugs; (e) garbled transmissions or miscommunications; (f) failure of any e-mail to be received by or from Wesco or any affiliates for any reason, including but not limited to congestion on the Internet or at any website or combination thereof or technical incompatibility; (g) damage to a user’s computer equipment (software or hardware) occasioned by participation or downloading of materials related to this Promotion or in connection with the Promotion App or Website; (h) printing, distribution, programming or production errors, and any other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise; or (i) technical, pictorial, typographical or editorial errors or omissions contained herein.

9. GENERAL CONDITIONS. Wesco is not responsible for lost, late, illegible, mutilated, misdirected, or incomplete Entries or ballots, or Entries or ballots not received for any reason. Wesco assumes no responsibility for any technical problems in conjunction with transmission or receipt of Entries or ballots or notification of potential winners, including faulty electronic data transmission, traffic congestion on the Internet or on the website, hardware or software, equipment failure or malfunction, or other online communications problems. Wesco reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, or any event or cause beyond Wesco’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Promotion or for any other reason in Wesco’s sole discretion. If any provision of these Rules is found to be invalid or unenforceable by a court of competent jurisdiction or appointed arbitrator, such determination shall in no way affect the validity or enforceability of any other provision herein.
10. DISPUTE RESOLUTION AND CHOICE OF LAW. Participant agrees that (a): any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any Prize, or the determination of eligibility shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective, and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorney’s fees; and (c) under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

All issues and questions concerning the construction, validity, interpretation, and enforceability of the Rules, or the rights and obligations of the parties hereto in connection with this Promotion shall be governed by the laws of the Commonwealth of Pennsylvania, without regard for conflict of laws principles. If any provisions of the Rules are found to be invalid or unenforceable by a court of competent jurisdiction or appointed arbitrator, such determination shall in no way affect the validity or enforceability of any other provision herein. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PARTIES HERETO EXPRESSLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT OR PROCEEDING ARISING IN OR IN CONNECTION WITH THE RULES AND THE TRANSACTIONS CONTEMPLATED HEREIN.

11. RULES REQUEST AND WINNER LIST. For a copy of the Rules or the names of the winner, send a self-addressed, stamped envelope to: Wesco Distribution, Inc., Attn: Marketing Department, 225 West Station Square Drive, Suite 700, Pittsburgh, PA 15219 USA. Upon request, the winner’s name will be made available, subject to compliance with all applicable data privacy laws and regulations. Wesco reserves the right to withhold or redact winner information to protect individual privacy rights. Requests must be postmarked no later than thirty (30) days after the end of the Promotion Period.
